Çalışmamızda, uygulamada son derece basit olarak değerlendirilen ancak detayına girildiğinde karmaşık bir yapıya sahip olduğu görülen ticaret şirketlerinin ihyası, medeni usul hukuku açısından incelenmektedir. Maddi hukuka ilişkin değerlendirmelere konu edilse de medeni usul hukuku açısından yeterince dikkate alınmayan bu husus, uygulamada bir dava olarak kabul görmüştür. Öncelikle tüzel kişilerin özellikleri, kuruluş şekilleri ve sona erme halleri ele alınmıştır. Ticaret şirketlerinin diğer tüzel kişilerle arasındaki fark ve kendilerine has özellikleriyle birlikte, sona erme halinin gerçekleşmesinin en önemli sonucu olan tasfiye aşamasında yapılacaklar tespit edilmiştir. Tasfiye aşamasının tamamlanmasıyla birlikte sicilden silinmenin etkisi ortaya konulmuştur. Çalışmanın ikinci bölümünde, ihya talebinin hukuki dayanakları ve neyi ifade ettiği açıklanmıştır. Uygulamada kabul edilen durumla doktrinde savunulan görüşlere değinilerek; tüzel kişiliğin taraf ve dava ehliyetine ilişkin açıklamalarda bulunulmuştur. Son olarak, 6102 sayılı Türk Ticaret Kanunu'nda yer alan ek tasfiye hükümlerine dayanılarak ticaret şirketlerinin ihyası talebinin, yargısal bir faaliyet olması hasebiyle dava mı yoksa çekişmesiz yargı işi mi olduğu tartışılmıştır. Çalışmada ihya talepli yargılamaların hukuki niteliğinin belirlenmesi ve uygulamadaki problemli hususlara dikkat çekmek amaçlanmıştır. |

In our study, the revival of commercial companies, which is considered to be extremely simple in practice, but which is seen to have a complex structure when it is examined in detail, is examined in terms of civil procedural law. This issue, which is not sufficiently taken into account in terms of civil procedural law, although it is subject to evaluations on substantive law, has been accepted as a case in practice. First of all, the characteristics of legal entities, their forms of establishment and termination are discussed. In addition to the differences between commercial companies and other legal entities and their unique characteristics, the actions to be taken during the liquidation phase, which is the most important consequence of the termination, have been determined. The effect of deletion from the registry upon the completion of the liquidation phase has been revealed. In the second part of the study, the legal bases and the meaning of the claim for restitution are explained. By referring to the situation accepted in practice and the views advocated in the doctrine; explanations have been made regarding the legal entity's capacity of party and litigation. Finally, it is discussed whether the request for the revival of commercial companies based on the additional liquidation provisions of the Turkish Commercial Code No. 6102 is a judicial activity and therefore, whether it is a lawsuit or a non-contentious judicial matter. The aim of this study is to determine the legal nature of the proceedings with a request for reinstatement and to draw attention to the problematic issues in practice. |
